Terms of Service

The contract that governs platform access, AI-assisted drafting limits, user approval duties, and core liability protections.

1. Scope, eligibility, and account responsibilities

[COMPANY LEGAL NAME] provides this AI-assisted invoicing platform for freelancers, studios, and small businesses. By using the service, you agree to these Terms and confirm that you are legally able to enter a binding agreement and, if acting for a business, authorized to bind that business.

You are responsible for your account, credentials, connected integrations, and all activity under your account. You must provide accurate information, protect login credentials, and notify us promptly of any suspected compromise.

2. Platform role and AI-assisted scope

The platform provides software tools to create, manage, export, and send invoices and related communications. It may also provide AI-generated draft assistance for invoice details, suggested line items, summaries, notes, and reminder drafts.

The product rule is: "AI drafts, user approves, system sends." AI output is assistive only and may be inaccurate, incomplete, misleading, or unsuitable for your situation.

  • AI is never authorized to autonomously send invoices, reminders, emails, or charges.
  • Users must manually review and approve every output before sending, exporting, or relying on it.
  • Users remain solely responsible for taxes, accounting treatment, invoice numbers, dates, recipients, amounts, currency, and legal compliance.

3. User content, invoices, recipients, and compliance

You retain ownership of your content, but you grant us the limited rights needed to host, process, transmit, secure, back up, and display it to provide the service. You are solely responsible for all uploaded files, prompts, invoice data, recipients, reminder content, and communications sent using the service or a connected account.

The platform is not legal, tax, accounting, payroll, debt collection, or financial advice. We do not guarantee tax correctness, payment collection, delivery success, recipient response, business outcomes, or compliance with laws applicable to your business.

  • You must have permission to use all data and materials uploaded to the service.
  • You must ensure invoices and communications are lawful, accurate, and not deceptive or unsolicited.
  • If you send through Gmail or another connected account, you authorize the send action and remain responsible for content and recipients.

4. Suspension, disclaimers, liability, and indemnity

We may suspend or terminate accounts that appear abusive, unlawful, fraudulent, insecure, or otherwise risky to the platform or third parties. The service is provided as is and as available, without warranties of accuracy, availability, fitness for a particular purpose, tax correctness, collection success, or legal sufficiency.

To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, failed collection, tax exposure, regulatory penalties, accounting treatment issues, or lost data. You will indemnify us for claims arising from your misuse, unlawful invoices, spam, fraud, IP infringement, or inaccurate data you submit or approve.

5. Governing law, disputes, changes, and contact
